Here's everything to kick off Phase 1 in one place. Review and sign the agreement, pay the $3,437.40 deposit to lock in the schedule, then start the $1,500/month plan (4 payments). That's it — we'll be in touch to schedule your kickoff.
Prefer a single upfront payment instead of the plan? That avoids the 5% financing fee — just let us know and we'll send an updated total.

This Website Design & Development Services Agreement ("Agreement") is entered into between Northwood Digital Services ("Company," "we," "us," or "our") and Box Hill Crab Cakes ("Client," "you," or "your") — each a "Party" and together the "Parties." This Agreement covers Phase 1 — Website + Digital Consolidation of the project described in the Company's proposal dated September 2026 ("Proposal / SOW"), incorporated herein by reference.
This Schedule records the package and pricing for Phase 1 and forms part of this Agreement. Where anything in it conflicts with the general terms below, this Schedule controls.
1.1 The Company will design, develop, and deliver the Phase 1 website and digital consolidation work (the "Website") for the Client as described in the attached Proposal / Statement of Work ("SOW"), incorporated herein by reference.
1.2 Any work not expressly described in the SOW — including Phase 2 (National E-Commerce & Shipping) and Phase 3 (Fulfillment & Operations) — is out of scope for this Agreement and will be quoted and billed separately before it begins.
1.3 Hosting. Once live, the Website is hosted and maintained under the Managed Commerce Support plan described in Schedule A, which begins at launch and is billed separately.
2.1 Deposit. A non-refundable deposit of $3,437.40 is due upon signing. No work begins until the Deposit is received. The Deposit reserves the Client's project slot, covers Company setup, licensing, and out-of-pocket costs, and is non-refundable under all circumstances.
2.2 Payment Plan. The balance is paid in four (4) equal monthly installments of $1,500, as set out in Schedule A. The first installment is due approximately thirty (30) days after signing, and the following installments on the same day of each of the next three months. The total of the Deposit plus the four installments is $9,437.40, which includes a 5% payment-plan fee. Paying in full upfront avoids this fee.
2.3 Card / Subscription on File. Before work begins, the Client must place a valid credit or debit card on file and authorize the Company to charge it for the Deposit and each scheduled installment, and for any other amounts due under this Agreement.
2.4 Late Payments. Any scheduled payment not received on its due date may be charged to the card on file. Past-due balances accrue interest at 1.5% per month (or the maximum allowed by law). The Company may pause all work while any amount is past due.
2.5 No Refunds on Completed Work. Fees for work performed, licenses purchased, and costs incurred are non-refundable regardless of whether the Client proceeds to launch.
The project advances through the following delivery checkpoints. Payment follows the schedule in Section 2 and Schedule A, independent of these delivery dates.
3.1 Revisions. The fee includes two (2) rounds of revisions at the Design Draft stage. Additional rounds, or changes requested after final approval, are billed at $150/hour.
3.2 Content. The pages and features delivered are as stated in the SOW / Proposal for Phase 1. The Client provides business information, images, and copy; work beyond the Phase 1 scope is billed separately.
4.1 Target Timeline. Assuming timely Client cooperation, the Phase 1 build follows this schedule from kickoff (M1): approximately six (6) weeks to deliver a rough site design for the Client's review; then approximately two (2) weeks to bring the site to a publishable state; then approximately two (2) weeks to allow for Client revisions before launch.
4.2 Client-Caused Delays. The timeline depends on the Client providing content, information, feedback, and approvals promptly, within 5 business days of each request. Delays caused by the Client or third parties extend the timeline and are not the Company's responsibility. The scheduled payments in Section 2 continue on their dates regardless.
4.3 Abandonment. If the Client fails to respond or provide required materials for thirty (30) consecutive days, the Company may deem the project abandoned, retain all amounts paid, and close the project. Reactivation may require a new deposit.
5.1 Ownership Transfers on Full Payment. All rights, title, and interest in the final Website transfer to the Client only upon payment in full of the Total Project Fee. Until then, all work product remains the sole property of the Company.
5.2 Retained Materials. The Company retains ownership of its own tools, templates, frameworks, and pre-existing materials, and grants the Client a license to use them as part of the delivered Website upon payment in full.
5.3 Third-Party Assets. Licenses for third-party themes, plugins, fonts, and stock media are governed by their respective licenses. Any subscriptions required by the Website are billed to the Client by the provider.
6.1 Post-Launch Support. The Company includes fourteen (14) days of complimentary support after launch to correct any build defects.
6.2 Managed Commerce Support. Ongoing hosting, care, edits, and support are provided under the Managed Commerce Support plan ($499/month), which begins at launch and is billed separately from the Phase 1 fee.
7.1 Limited Warranty. The Company will perform services professionally. Except as expressly stated, services are provided "as is." The Company does not guarantee specific business results, sales, or traffic.
7.2 Limitation of Liability. The Company's total liability will not exceed the total fees paid by the Client in the three (3) months preceding the claim. The Company is not liable for indirect, incidental, or consequential damages.
7.3 Client Content. The Client represents that it owns or has rights to all content and imagery it provides, and indemnifies the Company against claims arising from that content.
7.4 Independent Contractor. The Company is an independent contractor, not an employee, partner, or agent of the Client.
7.5 Termination. Either Party may terminate for material breach uncured after ten (10) days' written notice. Upon termination the Client pays for all work performed and costs incurred through that date; the Deposit and any completed scheduled payments are non-refundable.
7.6 Governing Law. This Agreement is governed by the laws of the State of Maryland, without regard to conflict-of-law rules.
7.7 Dispute Resolution. The Parties will attempt good-faith resolution. Any dispute not resolved will be settled by binding arbitration administered in the State of Maryland, and judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
7.8 Entire Agreement. This Agreement and the attached SOW are the entire agreement and supersede all prior discussions. Amendments must be in writing and signed by both Parties.
By signing below, the Parties agree to the terms of this Agreement, including the $3,437.40 deposit, the four-month $1,500 payment plan, card/subscription-on-file, and no-refund terms.
