Shopify Store Design & Development Services Agreement

This Shopify Store Design & Development Services Agreement ("Agreement") is entered into between Northwood Digital Solutions ("Company," "we," "us," or "our") and the Client ("you," or "your") named in the signature block below — each a "Party" and together the "Parties."

Schedule A — Your Selected Package & Payment Schedule

This Schedule records the package and pricing you selected above and forms part of this Agreement. Where anything in it conflicts with the general terms below, this Schedule controls.

  • Selected Package: — choose a package above
  • Total Project Fee: —
  • Deposit (50%) — due at signing: — — books your project slot and starts work; applied toward your Total Project Fee; non-refundable.
  • Then 3 equal monthly payments of: — — the remaining 50%, charged to your card on file, beginning about 30 days after signing and continuing for three consecutive months.
  • Your Shopify Subscription: your store lives on your own Shopify account; Shopify's monthly plan is billed by Shopify directly and is separate from the project fee above.

1. Scope of Services

1.1 The Company will design, develop, and deliver a Shopify online store (the "Store") for the Client as described in the attached Proposal / Statement of Work ("SOW"), incorporated herein by reference.

1.2 Any work not expressly described in the SOW is out of scope and will be quoted and billed separately before it begins.

1.3 Shopify Account. The Store is built on the Client's own Shopify account. The Client is responsible for maintaining an active Shopify subscription (billed by Shopify directly) for the Store to remain live. The Company will build within the Client's chosen Shopify plan and advise on the appropriate plan level.

2. Payment Terms

2.1 Deposit. A non-refundable deposit of fifty percent (50%) of the Total Project Fee (the "Deposit") is due upon signing. No work begins until the Deposit is received. The Deposit reserves the Client's project slot, covers Company setup, licensing, and out-of-pocket costs, and is non-refundable under all circumstances.

2.2 Payment Plan. The remaining fifty percent (50%) is paid in three (3) equal consecutive monthly installments, as set out in Schedule A. The first installment is due approximately thirty (30) days after signing, and the following installments on the same day of each of the next two months.

2.3 Card on File Required. Before work begins, the Client must place a valid credit or debit card on file and authorize the Company to charge it for the Deposit and each scheduled installment, and for any other amounts due under this Agreement. The Client agrees to keep a valid card on file throughout the engagement.

2.4 Late Payments. Any scheduled payment not received on its due date may be charged to the card on file. Past-due balances accrue interest at 1.5% per month (or the maximum allowed by law). The Company may pause all work and suspend the Store while any amount is past due.

2.5 No Refunds on Completed Work. Fees for work performed, licenses purchased, and costs incurred are non-refundable regardless of whether the Client proceeds to launch.

3. Project Milestones

The project advances through the following delivery checkpoints. Payment follows the schedule in Section 2 and Schedule A, independent of these delivery dates.

  • M1 — Kickoff. Signed Agreement, card on file, Deposit received, intake & content collected.
  • M2 — Design Draft. A working draft of the Store presented for the Client's review and feedback.
  • M3 — Final Approval. Revised Store reflecting approved feedback, presented for final approval before launch.
  • M4 — Launch. Store published live once M3 is approved.

3.1 Revisions. The fee includes two (2) rounds of revisions at the Design Draft stage. Additional rounds, or changes requested after final approval, are billed at $150/hour.

3.2 Products & Content. The number of products loaded is as stated in the SOW / Proposal for the selected package. The Client provides product information, images, and copy; additional products beyond the package amount are billed separately.

4. Timeline & Client Responsibilities

4.1 Target Timeline. The standard build is completed within thirty to forty-five (30–45) days of kickoff (M1), assuming timely Client cooperation.

4.2 Client-Caused Delays. The timeline depends on the Client providing content, product information, feedback, and approvals promptly. The Client agrees to return requested materials within 5 business days of each request. Delays caused by the Client or third parties extend the timeline and are not the Company's responsibility. The scheduled payments in Section 2 continue on their dates regardless of build progress caused by such delays.

4.3 Abandonment. If the Client fails to respond or provide required materials for thirty (30) consecutive days, the Company may deem the project abandoned, retain all amounts paid, and close the project. Reactivation may require a new deposit.

5. Ownership & Intellectual Property

5.1 Ownership Transfers on Full Payment. All rights, title, and interest in the final Store transfer to the Client only upon payment in full of the Total Project Fee. Until then, all work product remains the sole property of the Company.

5.2 Retained Materials. The Company retains ownership of its own tools, templates, frameworks, and pre-existing materials, and grants the Client a license to use them as part of the delivered Store upon payment in full.

5.3 Third-Party Assets. Licenses for third-party themes, apps, fonts, and stock media are governed by their respective licenses. Any app subscriptions required by the Store are billed to the Client by the app provider.

6. Support & Ongoing Care

6.1 Post-Launch Support. The Company includes fourteen (14) days of complimentary support after launch to correct any build defects.

6.2 Optional Care Plan. Ongoing store care, edits, and support are available on a separate monthly care plan, quoted separately. A care plan is optional and is not required for the Store to remain live, since the Store is hosted by Shopify on the Client's account.

7. Warranties, Liability & General Terms

7.1 Limited Warranty. The Company will perform services professionally. Except as expressly stated, services are provided "as is." The Company does not guarantee specific business results, sales, or traffic.

7.2 Limitation of Liability. The Company's total liability will not exceed the total fees paid by the Client in the three (3) months preceding the claim. The Company is not liable for indirect, incidental, or consequential damages.

7.3 Client Content. The Client represents that it owns or has rights to all content and product imagery it provides, and indemnifies the Company against claims arising from that content.

7.4 Independent Contractor. The Company is an independent contractor, not an employee, partner, or agent of the Client.

7.5 Termination. Either Party may terminate for material breach uncured after ten (10) days' written notice. Upon termination the Client pays for all work performed and costs incurred through that date; the Deposit and any completed scheduled payments are non-refundable.

7.6 Governing Law. This Agreement is governed by the laws of the State of Maryland, without regard to conflict-of-law rules.

7.7 Dispute Resolution. The Parties will attempt good-faith resolution. Any dispute not resolved will be settled by binding arbitration administered in the State of Maryland, and judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

7.8 Entire Agreement. This Agreement and the attached SOW are the entire agreement and supersede all prior discussions. Amendments must be in writing and signed by both Parties.

8. Acceptance

By signing below, the Parties agree to the terms of this Agreement, including the 50% deposit, the three-month payment plan, card-on-file, and no-refund terms.
