Website Template Plan Agreement

This Website Template Plan Agreement ("Agreement") is entered into between Northwood Digital Services ("Company," "we," "us," or "our") and the Client ("you," or "your") named in the signature block below.

1. Scope of Services

1.1 The Company will adapt the Client's selected template into a fully rebranded website (the "Website") of up to the page count in the Client's selected plan (5, 10, or 20 pages), using the Client's content, brand colors, and images provided at intake.

1.2 Work not described above — additional pages, custom features, e-commerce, integrations, or bespoke design beyond the template — is out of scope and quoted separately, or billed at $150/hour, before it begins.

1.3 Hosting & Support Included. Hosting, security, backups, and support are a bundled, ongoing part of this plan (Section 5) during the term. Upon completion of the term the Client owns the Website and may keep it hosted with the Company or take a full export/handoff (Section 5.3).

2. Payment Terms

2.1 $0 Down. No payment is due at signing. Signing authorizes the Company to place your selected plan on a card on file and begin your build.

2.2 First Payment & Recurring Fee. Your first monthly payment is charged when your Website goes live (approximately 30 days after intake). The plan then bills your selected monthly fee ($149, $199, or $279 per your plan) for a minimum 24-month term. By signing you authorize the Company to charge the card on file that monthly fee for the duration of the term.

2.3 Card on File. The Client keeps a valid credit or debit card on file for the plan term and authorizes recurring and any past-due charges to it.

2.4 Early Termination. This is a 24-month commitment. Because the Company builds your Website at $0 down, if the plan is cancelled before the end of the 24-month term the remaining balance of the term becomes immediately due.

2.5 Late Payments. If a monthly payment fails or becomes past due, the Company may pause work and suspend the Website until the account is current; past-due balances may accrue interest at 1.5%/month (or the maximum allowed by law).

2.6 No Refunds on Completed Periods. Monthly fees cover ongoing design, hosting, security, and support and are non-refundable once the period has begun.

3. Timeline & Client Responsibilities

3.1 Target Timeline. Because you're starting from a proven template, the standard build is delivered quickly once your intake (content, brand colors, logo, and images) is received — typically the site goes live within about 30 days.

3.2 Client Cooperation. The timeline depends on the Client returning requested content, feedback, and approvals promptly (within 5 business days of each request). Delays caused by the Client extend the timeline but do not change the term or monthly billing.

3.3 Revisions. The plan includes reasonable rounds of edits to get your site right and ongoing edits thereafter. Requests for work outside the template scope are quoted separately or billed at $150/hour.

4. Ownership & Intellectual Property

4.1 During the term, the Company retains ownership of its templates, tools, frameworks, and pre-existing materials and licenses them to the Client to use as part of the hosted Website.

4.2 Ownership Transfers at Completion. Upon the Client's completion of all 24 monthly payments, ownership of the finished Website transfers to the Client. The Client may then continue managed hosting & support with the Company for $99/month or receive a full export/handoff to a host of the Client's choosing.

4.3 The Client owns its own content, logo, and images provided at intake, represents it has the rights to all content it provides, and indemnifies the Company against claims arising from that content. Third-party themes, plugins, fonts, and stock media are governed by their respective licenses.

5. Hosting, Security & Support (Included)

5.1 Bundled Service. Managed WordPress hosting, SSL, daily backups, plugin/core updates, security & uptime monitoring, and ongoing minor content edits are included in the monthly fee during the term.

5.2 Suspension for Non-Payment. If fees become past due, the Company may suspend or take the Website offline until the account is current.

5.3 After the Term — You Own It. Upon completion of the 24-month term, ownership of the Website transfers to the Client. The Client may (a) continue managed hosting & support for $99/month, or (b) request a full export/handoff of the Website to a host of the Client's choosing. The Website is not removed.

6. Warranties, Liability & General Terms

6.1 The Company will perform services professionally. Except as expressly stated, services are provided "as is." The Company does not guarantee specific business results, rankings, or traffic.

6.2 Limitation of Liability. The Company's total liability will not exceed the fees paid by the Client in the three (3) months preceding a claim. The Company is not liable for indirect, incidental, or consequential damages.

6.3 Independent Contractor. The Company is an independent contractor, not an employee, partner, or agent of the Client.

6.4 Governing Law. This Agreement is governed by the laws of the State of Maryland. Any dispute not resolved in good faith will be settled by binding arbitration administered in Maryland.

6.5 Entire Agreement. This Agreement is the entire agreement and supersedes prior discussions. Amendments must be in writing and signed by both Parties.

7. Acceptance

By signing below, the Parties agree to the terms of this Agreement, including the $0 down start, the selected monthly plan fee, the first payment at launch, the 24-month term, the early-termination terms, ownership transfer at completion, and the card-on-file authorization.
